3.duties and obligations

duties and obligations of party a:

party a shall ensure that the original offered is smooth and clear. original in printed copy or electronic version is preferred.

party a should ensure that the entrusted texts are from legitimate sources and used for proper purposes.

in order to ensure the professionalism and accuracy of the translation as well as the consistency of the terms, when the text is entrusted, party a shall to the best of its knowledge provides party b with the related proper names, technical terms and acronyms involved in the entrusted text.

party a shall pay a deposit and pay the balance on time.

duties and obligations of party b:

party b shall ensure the delivery of the translation according to the agreed time.

party b shall ensure the accuracy of the translation according to the standard of respecting the original and conforming to the original meaning.

party b shall only be liable for the accuracy of the original. as for the origin, content and usage of the original as well as the direct or indirect result caused by the usage of the original, party b shall not bear any responsibility.

party b shall neither have the right to share the profits yielding through the party a’s usage of the original nor take responsibility for the damage caused by the party a’s usage of the original.

when the translation is completed and the full translation fee has been paid by party a, party b shall issue a formal invoice to party b.

after the delivery of the translation, party b shall still be responsible for revising the translation if the revise is caused by party b’s mistakes. if the revise is due to party a’s requirements, party a shall pay separately.

party b shall ensure that the texts entrusted by party a remains secret. a separate confidential agreement, as a part of this contract can be signed if necessary. after the delivery of the translation, party b shall clear all the related documents of translation.

4. quality of the translation

party b shall ensure that the quality of the translation meets the acknowledged industry standard. if there is any dispute about the quality of the translation, a third party that is approved by both sides shall judge this translation. or either party may apply for arbitration directly. the arbitration fee shall be borne by the losing party.

5.amendments and adds

if party a require cuts, amendments or adds during the process of translation or when the translation is completed, the added and amended parts shall be charged separately. but the translated parts should not be cut. if party a requires the translation to be stopped during the process of translation, party a shall pay the translation fee to party b as the negotiated price according to party b’s translation schedule as well as the number of the words of the translated part.

6. confidentiality

party b shall ensure that the customers’ commercial secrets and personal information should not be disclosed. as for the content and related information involved in the entrusted text from party a, party b shall not disclose any information or commercial secret involved in the entrusted text mentioned above.

7. compensation

under this contract, any form of compensation claimed by party a to party b shall not exceed the total amount of the translation fee stipulated in this contract.

8. the language and the number of copies of the contract

this contact, written in chinese, is signed in duplicates, each party has one of them. faxed copies and the original are equally authentic

9. aftersales service

for the unsatisfied details due to misunderstandings, one’s language habits or obscure terms, party b will amend these details for free. if the mistake is thought to be a mistake in principle by party a, party a should point it out within three months since the translation is delivered. otherwise, it will be deemed as a waiver.
